Lascelles deMercado & Co. Limited (LAS) has advised that it had been informed by Campari Espana S.L. that Campari’s offer to purchase the entire issued share capital of LAS was declared unconditional and closed on December 10, 2012 at 4:30 p.m. Accordingly, Campari is now the majority shareholder in LAS, holding over 98% of the ordinary stock units and 97% of the preference stock units in LAS. Consequently, the Board of LAS has resigned and the following Directors appointed by Campari Espana S.L. effective December 10, 2012: Mr. Stefano Saccardi (General Counsel and Business
Development Officer, and Director, Davide-Campari Milan); Mr. Max Poliav (formerly General Manager, Odessa Sparkling Wines Company); Mr. James McLachlan (Chief Financial Officer, Campari North America Business Unit); Mr. Bruce Terrier (Managing Director of Lascelles Limited) and Mr. Paul Henriques (Managing Director of J. Wray & Nephew Limited). Mr. Stefano Saccardi becomes Chairman of LAS and Interim Group Managing Director. Mr. Max Poliav takes up the executive position of Group Finance Director at LAS.
